Free Resource License

Definitions and acceptance

"Authorized Recipient" means the individual whose email address was used to request and receive the Resource. "Household" means the Authorized Recipient and people who ordinarily share the same residence and finances. By checking the required acknowledgment and requesting the Resource, the Authorized Recipient accepts this License and the incorporated Terms of Use. The Authorized Recipient must be at least 18 years old or the age of legal majority in the recipient’s jurisdiction.

License grant

Subject to this License, Rich Direction, LLC grants the Authorized Recipient a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to use and modify the Resource for the recipient’s own individual or household finances. Household use does not permit separate distribution of copies outside the Household. The Authorized Recipient may retain reasonable backup copies solely for permitted use.

Ownership and notices

Rich Direction, LLC retains ownership of its original content, formulas, product design, branding, and documentation. Third-party and open-source materials remain subject to the rights and licenses of their respective owners. Copyright, license, attribution, source, version, and disclaimer notices included with the Resource must remain intact.

Restrictions

Without prior written authorization from Rich Direction, LLC, the Authorized Recipient may not redistribute, resell, rent, lend, publicly post, publish, use commercially, distribute to clients or customers, sublicense, upload to a public repository or template marketplace, incorporate the Resource into a competing or derivative product, remove notices, circumvent protection, or share a controlled download link. These restrictions apply to the original Resource and to modified, translated, converted, extracted, reformatted, or derivative copies.

Termination, versions, and updates

This License terminates automatically upon a material violation. After termination, the Authorized Recipient must stop using the Resource and delete unauthorized copies where legally permitted. The filename or accompanying documentation identifies the supplied version. No entitlement to future versions, support, maintenance, or updates is provided. Rich Direction may send essential corrections or material updates relating to a requested Resource as transactional communications.

Educational limitation and warranty disclaimer

The Resource is provided for general educational purposes and depends on user inputs, assumptions, formulas, and information that may change. It is not individualized financial, investment, tax, legal, lending, accounting, credit-repair, or debt-relief advice. It is not tax preparation or filing software, and no result is guaranteed.

To the fullest extent permitted by law, the Resource is supplied "as is" and "as available," with all faults and without warranties of any kind. Rich Direction disclaims warranties of accuracy, completeness, suitability, compatibility, merchantability, fitness for a particular purpose, title, noninfringement, security, and availability. Official forms, instructions, laws, and qualified professional guidance control over the Resource.

Limitation of liability

To the fullest extent permitted by law, Rich Direction, LLC and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages; lost profits, savings, opportunities, data, or goodwill; corrupted or unavailable files; third-party conduct; or decisions made using the Resource.

To the fullest extent permitted by law, the aggregate liability of Rich Direction, LLC arising from a free Resource will not exceed $100. This limitation does not apply to liability that cannot lawfully be limited, including liability arising from fraud, willful misconduct, or other conduct for which applicable law prohibits limitation.

Governing law and general provisions

This License is governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Subject to applicable consumer-protection law and any right that cannot lawfully be waived, legal proceedings arising from this License or a Resource must be brought in a state court located in Oakland County, Michigan, or in the United States District Court for the Eastern District of Michigan. Each party consents to the personal jurisdiction of those courts.

If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. The Authorized Recipient may not assign or transfer this License. Rich Direction may assign it with the Resource or business. Ownership, restrictions, termination consequences, disclaimers, liability limits, governing law, venue, and other provisions that by their nature should survive will survive termination.
